Terms of Service
As of 2026-05. These terms govern all contracts between MiraNext GmbH and its business customers regarding the Callina service.
1. Scope
These terms apply to all contracts between MiraNext GmbH(FN 614242 y, Landesgericht Salzburg, Innsbrucker Bundesstraße 83a, 5020 Salzburg, Austria — the "Provider") and the customer regarding the Callina services offered as Software-as-a-Service.
2. Conclusion of contract
The contract is concluded upon completion of the order process and payment confirmation via our payment provider Stripe. By placing the order, the customer confirms having read and accepted these terms.
3. Services
The Provider delivers the booked Callina service tier as Software-as-a-Service. SLA: 99.5% (Starter), 99.9% (Business), 99.95% with penalty (Enterprise).
4. Pricing and payment
All prices are in EUR plus statutory VAT. Billing is per second, monthly in arrears via Stripe. In case of payment default the Provider may suspend access after due notice.
5. Right of withdrawal (consumers)
Consumers under the Austrian KSchG and FAGG have a 14-day right of withdrawal. By accepting these terms the customer expressly consents to immediate execution and acknowledges that the right of withdrawal expires upon start of execution (§ 18 (1) Z 11 FAGG). B2B customers are not subject to KSchG.
6. Termination
Monthly subscriptions can be cancelled at the end of each month. Annual subscriptions renew automatically for one year unless cancelled 30 days before expiry. Cancellation via Stripe customer portal or email to hello@callina.ai.
7. Liability
Provider liability is limited to intent and gross negligence to the extent permitted by law. Liability for indirect damages, lost profit and data loss is excluded. Liability cap: annual contract value of the affected tier.
8. Data protection and DPA
The Provider processes personal data per the privacy policy and GDPR. A Data Processing Agreement is provided on request — see callina.ai/legal/dpa.
9. Governing law and jurisdiction
Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is Salzburg, Austria. Statutory rules apply for consumers.
